OMEGA ENERGIA S.A ("Omega Energia" or "Company" - Novo Mercado: MEGA3), informs its shareholders and the market in general that signed with EDF EN do Brasil Participações Ltda. ("EDFR") a Memorandum of Understanding (Term Sheet), on a non-binding basis, related to the potential transaction exchange of shareholdings held by Omega Energia and EDFR in the companies that own the assets of the Pirapora Solar Complex and Ventos da Bahia Wind Complex ("Potential Operation").

If the Potential Transaction is carried out, Omega Energia will hold 100% (one hundred percent) of equity interests in the companies that own the assets of the Ventos da Bahia Wind Complex (including Phases 1, 2 and 3) and EDFR will hold 100% (one hundred percent) of the equity interests in the companies that own the assets of the Solar Pirapora Complex (including Phases 1, 2 and 3), thus ending the joint ventures between Omega Energia and EDFR.

The Memorandum of Understanding does not create any right or obligation for the parties to perform the Potential Operation, and any right or obligation will only exist if the parties decide to enter into definitive and binding documents related to the Potential Transaction. The Company will keep its shareholders and the market in general duly informed about new facts relating to this notice.
